What the Ministry does, and which office does it

The Ministry of Corporate Affairs administers company and LLP law, maintains the corporate register, and regulates the professions and institutions around it. Most of the confusion in dealing with it comes from not knowing which office holds the decision.

Company and LLP law

Administers the Companies Act 2013, the LLP Act 2008 and the rules made under them, including all amendments, exemptions and clarifications.

The corporate registry

Runs MCA21, the register of roughly 21.5 lakh active companies and 5.1 lakh LLPs, and publishes master data as a public record.

Filing and disclosure

Receives statutory filings — incorporation, annual accounts, annual returns, charges, changes in directors and capital — and makes them publicly inspectable.

Enforcement and investigation

Adjudicates penalties, disqualifies directors, strikes off defaulting companies, and refers serious fraud to the SFIO.

Professional regulation

Oversees the three statutory institutes for chartered accountants, company secretaries and cost accountants, and audit quality through NFRA.

Investor protection

Administers the Investor Education and Protection Fund, which holds unclaimed dividends and shares and processes claims.

Insolvency and competition policy

Administers the Insolvency and Bankruptcy Code and the Competition Act through IBBI and CCI.

Corporate social responsibility

Sets the section 135 framework, the CSR-1 registration requirement for implementing agencies, and the national CSR Exchange.
